JET'S PIZZA DOES NOT WARRANT THAT: (A) THE SERVICE WILL BE UNINTERRUPTED, TIMELY, SECURE, OR ERROR-FREE; (B) THE RESULTS OBTAINED FROM USE OF THE SERVICE WILL BE ACCURATE OR RELIABLE; (C) ANY ERRORS IN THE SERVICE WILL BE CORRECTED; OR (D) THE WEBSITE OR THE SERVERS THAT MAKE IT AVAILABLE ARE FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS.

Some jurisdictions do not allow the exclusion of implied warranties, so the above exclusions may not apply to you in their entirety. In such jurisdictions, the foregoing disclaimers shall apply to the maximum extent permitted by applicable law.

9. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE FEDERAL AND STATE LAW, IN NO EVENT SHALL JET'S PIZZA, ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, LICENSORS, SUPPLIERS, OR SERVICE PROVIDERS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, LOSS OF REVENUE, LOSS OF DATA, LOSS OF GOODWILL, SERVICE INTERRUPTION, COMPUTER DAMAGE, SYSTEM FAILURE, OR THE COST OF SUBSTITUTE SERVICES, ARISING OUT OF OR RELATED TO YOUR USE OF OR INABILITY TO USE THE SERVICE, WHETHER BASED ON WARRANTY, CONTRACT, TORT (INCLUDING NEGLIGENCE), STRICT LIABILITY, OR ANY OTHER LEGAL THEORY, EVEN IF JET'S PIZZA HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

IN NO EVENT SHALL THE AGGREGATE LIABILITY OF JET'S PIZZA TO YOU FOR ALL CLAIMS ARISING OUT OF OR RELATED TO THESE TERMS OR YOUR USE OF THE SERVICE EXCEED THE GREATER OF: (A) THE TOTAL AMOUNT PAID BY YOU TO JET'S PIZZA IN THE TWELVE (12) MONTHS IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO THE CLAIM; OR (B) ONE HUNDRED U.S. DOLLARS ($100.00).

The limitations of liability set forth in this Section 9 are fundamental elements of the basis of the bargain between Jet's Pizza and you. Some states do not allow certain limitations on implied warranties or the exclusion or limitation of certain categories of damages, so the above limitations may not apply to you in whole or in part. In such states, Jet's Pizza's liability shall be limited to the maximum extent permitted by applicable law.

10. Indemnification

You agree to indemnify, defend, and hold harmless Jet's Pizza, its affiliates, officers, directors, employees, contractors, agents, licensors, and service providers from and against any and all claims, liabilities, damages, judgments, awards, losses, costs, expenses, or fees (including reasonable attorneys' fees) arising out of or relating to:

• Your violation of these Terms or any applicable law or regulation;
• Your use of the Service, including any orders placed or content submitted through the Service;
• Any allegation that content you submitted to the Service infringes or violates a third party's intellectual property, privacy, or other rights;
• Your negligence, willful misconduct, or fraud;
• Any dispute between you and any third party arising from your use of the Service.

Jet's Pizza reserves the right, at its own expense, to assume the exclusive defense and control of any matter otherwise subject to indemnification by you, in which event you will cooperate with Jet's Pizza in asserting any available defenses. You agree not to settle any such matter without the prior written consent of Jet's Pizza.

11. Governing Law and Jurisdiction

These Terms shall be governed by and construed in accordance with the laws of the United States and the laws of the applicable state in which the relevant Jet's Pizza location operates, without giving effect to any choice of law or conflict of law principles that would cause the application of the laws of any other jurisdiction.

For users located in California, these Terms are additionally subject to the California Consumer Privacy Act (CCPA), as amended by the California Privacy Rights Act (CPRA), and other applicable California consumer protection laws. For all users, these Terms are subject to the Federal Trade Commission Act (FTC Act) and other applicable federal consumer protection statutes and regulations.

Subject to the dispute resolution provisions in Section 12 below, you agree that any legal action, suit, or proceeding arising out of or related to these Terms or your use of the Service shall be brought exclusively in the federal or state courts of competent jurisdiction located in the United States, and you hereby irrevocably consent to the personal jurisdiction of, and venue in, such courts and waive any objection to such jurisdiction or venue.

12. Dispute Resolution

12.1 Informal Resolution

Before initiating any formal dispute resolution proceeding, you agree to first attempt to resolve any dispute, claim, or controversy arising out of or relating to these Terms or the Service ("Dispute") by contacting Jet's Pizza directly at [email protected]. The parties agree to negotiate in good faith for a period of not less than thirty (30) days from the date of the initial notice of the Dispute before pursuing formal dispute resolution.

12.2 Binding Arbitration

If informal resolution is unsuccessful, any Dispute shall be resolved by binding individual arbitration administered by the American Arbitration Association ("AAA") in accordance with its Consumer Arbitration Rules then in effect, which are available at www.adr.org. The arbitration shall be conducted in the English language. The arbitrator's decision shall be final and binding and may be entered as a judgment in any court of competent jurisdiction.

The arbitration shall be conducted on an individual basis. Neither party shall have the right to participate in a class action, class-wide arbitration, private attorney general action, or any other representative proceeding. Each party waives its right to a jury trial with respect to all Disputes subject to arbitration.

Notwithstanding the foregoing, either party may seek emergency injunctive or other equitable relief from a court of competent jurisdiction to prevent actual or threatened infringement of intellectual property rights, breach of confidentiality obligations, or other irreparable harm pending the resolution of a Dispute through arbitration.

12.3 Class Action Waiver

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, YOU AND JET'S PIZZA EACH AGREE THAT ANY DISPUTE RESOLUTION PROCEEDING WILL BE CONDUCTED ONLY ON AN INDIVIDUAL BASIS AND NOT IN A CLASS, CONSOLIDATED, OR REPRESENTATIVE ACTION. IF FOR ANY REASON A CLAIM PROCEEDS IN COURT RATHER THAN THROUGH ARBITRATION, YOU AND JET'S PIZZA EACH WAIVE ANY RIGHT TO A JURY TRIAL AND ANY RIGHT TO PARTICIPATE IN A CLASS ACTION OR REPRESENTATIVE PROCEEDING.

12.4 Time Limitation on Claims

To the extent permitted by applicable law, any claim or cause of action arising out of or related to your use of the Service or these Terms must be filed within one (1) year after such claim or cause of action arose. Claims not brought within this time period shall be permanently barred, regardless of any statute of limitations to the contrary.

13. Term and Termination

These Terms shall remain in full force and effect while you use the Service or maintain an account with Jet's Pizza. Jet's Pizza may terminate or suspend your access to the Service at any time and for any reason, including but not limited to violation of these Terms, suspected fraudulent activity, or extended periods of account inactivity, with or without prior notice and without liability to you.

In the event of a Force Majeure Event, Jet's Pizza will make commercially reasonable efforts to resume performance as soon as practicable.
